Gowin Semiconductor Corporation (hereinafter referred to as "Gowin") is firmly committed to maintaining business operations within the bounds of compliance. We place significant emphasis on understanding and adhering to the compliance requirements that arise during our international operations. Continuously monitoring the legal, regulatory, and policy developments related to export control and economic sanctions (hereinafter referred to as "Trade Control"), from jurisdictions and entities such as China, the United States, the European Union, the United Nations, and other key countries and organizations, Gowin ensures its business activities align with the standards of Trade Control compliance. Moreover, we consistently enhance our company's compliance management system to reflect these standards.
高云承諾不會(huì)從事違反可適用的貿(mào)易管制合規(guī)要求的行為，并要求公司所有員工、管理層、授權(quán)代表按照高云制定的貿(mào)易管制合規(guī)政策、合規(guī)指引、合規(guī)手冊(cè)等要求開展業(yè)務(wù)。未經(jīng)公司決策且取得必需的許可，任何主體不得違規(guī)將受到貿(mào)易管制的產(chǎn)品提供給受限制的國家或主體，不得違規(guī)將受到貿(mào)易管制的產(chǎn)品用于受限制或被禁止的用途。
Gowin commits to adhering strictly to the prevailing Trade Control Compliance Requirements. We mandate that all our employees, management, and authorized representatives uphold the standards set out in Gowin’s Trade Control Compliance Policies, Guidelines and Manuals. No entity shall unlawfully supply products subject to trade control to restricted countries or entities, or utilize such products for prohibited or constrained purposes, unless they have secured the requisite licenses and obtained approvals from the Company.
高云不斷強(qiáng)化對(duì)所有合作伙伴的合規(guī)管理，將可適用的合規(guī)要求及時(shí)傳遞給合作伙伴，努力與合作伙伴達(dá)成貿(mào)易合規(guī)共識(shí)，共同維系公司業(yè)務(wù)穩(wěn)定性。
Gowin consistently fortifies the compliance oversight of all its partners, promptly communicates relevant compliance stipulations to them, and actively seeks alignment on trade compliance matters. This collaborative approach ensures the sustained stability of the Company's operations.
為有效落實(shí)貿(mào)易管制合規(guī)管理，高云成立合規(guī)委員會(huì)負(fù)責(zé)貿(mào)易管制合規(guī)工作，要求各部門在業(yè)務(wù)環(huán)節(jié)關(guān)鍵節(jié)點(diǎn)開展合規(guī)盡職調(diào)查、貿(mào)易制裁掃描、產(chǎn)品受管制判斷、貿(mào)易管制合規(guī)評(píng)審，復(fù)核關(guān)鍵合規(guī)事項(xiàng)，并為貿(mào)易合規(guī)工作匹配充足的資源。
To robustly execute trade control compliance management, Gowin has established a Compliance Committee dedicated to overseeing trade control compliance activities. This committee mandates each department to undertake compliance due diligence, trade sanction assessments, evaluations of controlled products, trade control compliance reviews, and scrutiny of pivotal compliance issues at crucial junctures in the business process. Furthermore, appropriate resources are allocated to ensure the thoroughness of trade compliance endeavors.
高云聲明，公司鼓勵(lì)合規(guī)、懲戒違規(guī)，任何員工、合作伙伴、第三方主體如懷疑或發(fā)現(xiàn)潛在違規(guī)行為的，均可向高云投訴或舉報(bào)違規(guī)線索。對(duì)于查證屬實(shí)的違規(guī)行為，高云將嚴(yán)格處罰直接責(zé)任人和負(fù)有管理職責(zé)的人員，并解除與嚴(yán)重違規(guī)者的勞動(dòng)關(guān)系。
Gowin emphasizes its commitment to upholding compliance and taking strict actions against violations. Any employee, partner or third-party individual who has suspicions or uncovers a possible infraction is urged to report such concerns to Gowin. In instances where violations are validated, Gowin will take stringent measures against both those directly accountable and those in supervisory roles. For severe breaches, the company will sever its employment relationship with the violators.
若可適用的貿(mào)易管制法律法規(guī)發(fā)生變化的，高云將及時(shí)修訂、更新本聲明內(nèi)容。
Should there be any amendments to the relevant trade control laws and regulations, Gowin will promptly review and update the provisions of this statement as necessary.
